Afri2Pay – Merchant Service Agreement

This Merchant Service Agreement (“Agreement”) is entered into between Afri2Pay (“We”, “Our”, “Us”) and the Merchant (“You”, “Your”) who registers to accept payments through the Afri2Pay platform. By applying for a merchant account, integrating our payment tools, or accepting payments through Afri2Pay, you agree to the terms below.
1. Definitions
Afri2Pay Services – Payment processing, settlement, virtual card payments, QR payments, wallet payments, APIs.
Merchant Account – Your business account on Afri2Pay.
Customer – Any individual making payment to the Merchant through Afri2Pay.
Settlement – The transfer of funds from Afri2Pay to the Merchant’s designated bank account or wallet.
Chargeback – A transaction reversal requested by a customer, bank, or regulatory authority.
2. Merchant Eligibility
To use Afri2Pay Merchant Services, you must:
Be a legally registered business or authorized sole proprietor.
Provide valid business documents (CAC, Tax ID, or equivalent).
Submit accurate settlement information.
Complete Merchant KYC verification.
We may deny or suspend merchants based on risk assessment.
3. Use of Afri2Pay Services
Merchants may use Afri2Pay to:
Accept QR payments
Accept wallet transfers
Accept virtual card payments
Generate payment links and invoices
Integrate with our API or POS devices
Merchants must not use Afri2Pay for illegal goods/services, fraudulent activities, high-risk transactions, or unapproved business categories.
4. Merchant Responsibilities
You agree to:
Deliver goos, funds and services as described to customers.
Provide clear pricing, refund, and delivery policies.
Manage customer issues promptly and professionally.
Maintain accurate business information on your merchant dashboard.
Keep login, 2FA, and API keys secure and confidential.
Merchants are responsible for any losses caused by unauthorized access resulting from negligence.
5. Fees & Charges
Afri2Pay applies standard merchant fees, including:
Transaction processing fees
Settlement fees (where applicable)
Chargeback or dispute fees
Currency conversion fees
All fees are displayed transparently in the merchant dashboard and may be updated with notice.
6. Settlement Terms
Settlement is processed to the Merchant’s bank account or wallet according to the selected settlement schedule.
Afri2Pay may delay or hold settlements for fraud checks, regulatory compliance, or risk review.
Afri2Pay is not responsible for delays caused by banks, payment networks, or external processors.
7. Fraud Prevention & Risk Management
Afri2Pay uses advanced monitoring tools to detect fraud. We may:
Request additional merchant verification
Limit transaction volume
Suspend or freeze suspicious settlements
Reverse fraudulent payments
Merchants agree to cooperate with fraud investigations.
8. Chargebacks & Disputes
Merchants are responsible for handling customer disputes related to product delivery, quality, and refunds.
In case of chargeback, Afri2Pay may deduct the disputed amount and any associated fees.
Excessive chargebacks may result in account restriction or termination.
9. Data Protection & Confidentiality
Merchants must:
Protect customer data; no sharing or selling of customer information.
Comply with Afri2Pay’s Data Protection Policy, NDPR, and GDPR standards.
Use Afri2Pay’s data strictly for transaction purposes.
Afri2Pay maintains confidentiality of merchant information except where disclosure is required by law.
10. Compliance & Legal Obligations
Merchants must comply with:
AML/CFT regulations
Local and international financial laws
Industry standards and card network rules
Afri2Pay compliance policies
We may request documents at any time for verification or regulatory audits.
11. Suspension & Termination
Afri2Pay may suspend or terminate a Merchant account for:
Fraudulent or high-risk behavior
Misuse of Afri2Pay systems
Violation of this Agreement
Failure to complete KYC/KYB
Excessive disputes/chargebacks
Merchants may terminate their accounts with written notice, pending settlement of outstanding transactions or liabilities.
12. Limitation of Liability
Afri2Pay is not liable for:
Merchant’s product/service disputes
Losses from unauthorized access caused by Merchant negligence
Bank or processor delays
Business losses, lost profits, or incidental damages
Our liability is limited to the amount of the disputed transaction.
13. Intellectual Property
All Afri2Pay trademarks, software, APIs, and tools remain the property of Afri2Pay.
Merchants may not copy, modify, or distribute platform technology.
14. Modifications to this Agreement
Afri2Pay may modify the Agreement as required with or without prior notice. Updated versions will be posted on our website. Continued use of services constitutes acceptance.
15. Governing Law
This Agreement is governed by the applicable financial and commercial laws of the jurisdiction in which Afri2Pay operates.
